Agreement to Terms
By accessing or using the CartOps website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our services.
Services Description
CartOps provides AI-powered e-commerce automation services, including but not limited to:
- Abandoned cart recovery automation
- AI-powered customer support systems
- Inventory monitoring and alerts
- Email marketing automation
- Analytics and reporting dashboards
Service Engagement
Our services are provided on a subscription basis. Specific terms, pricing, and deliverables will be outlined in a separate service agreement before any work begins. All service agreements are subject to these general Terms of Service.
ROI Guarantee
We stand behind our work with a 30-day ROI guarantee. If your automation does not demonstrate positive ROI within 30 days of implementation, we will continue working at no additional cost until it does. This guarantee is subject to:
- Client providing accurate store data and metrics
- Client granting necessary access to Shopify/e-commerce platform
- Client implementing our recommendations in good faith
- Reasonable cooperation in the optimization process
Platform Access
To provide our services, you agree to grant us appropriate access to:
- Your e-commerce platform (Shopify, etc.)
- Email marketing tools (Klaviyo, etc.)
- Customer support systems
- Analytics platforms
All access credentials will be treated as confidential and used only for service delivery.
Payment Terms
Payment terms will be specified in your service agreement. Generally:
- Payments are due monthly in advance
- We accept major credit cards and bank transfers
- Late payments may result in service suspension
Cancellation
You may cancel your subscription at any time with 30 days written notice. Upon cancellation:
- You will retain access to automations already built
- Ongoing support and optimization will cease
- No refunds for partial months
Intellectual Property
Upon full payment, you own the custom automations we build for your store. We retain the right to use general techniques, methodologies, and non-client-specific code in other projects.
Confidentiality
We treat all client business information as confidential, including but not limited to revenue data, customer lists, and conversion metrics. We will not share your proprietary data with third parties without your explicit consent.
Limitation of Liability
To the maximum extent permitted by law, CartOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you in the twelve months preceding any claim.
Disclaimer
Our services are provided "as is" without warranties of any kind. While we strive for accuracy in our ROI projections based on industry benchmarks (70% cart abandonment rate, 10-15% recovery rate with automation), actual results may vary based on your specific store, audience, and products.
Indemnification
You agree to indemnify and hold harmless CartOps from any claims, damages, or expenses arising from your use of our services or violation of these terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these terms at any time. We will notify active clients of material changes via email. Continued use of our services after changes constitutes acceptance of the new terms.
